Integrative Sleep Institute Membership
Terms & Conditions
The following Terms and Conditions (“Agreement”) are entered into by and between you (“Client,” “Member,” or “You”) and IntraBalance LLC (“Company,” “we,” or “us”).
Program
The Company agrees to provide you with access to the Integrative Sleep Institute Membership (“Program” or “Membership”), a continuing professional education membership for healthcare professionals interested in developing expertise in integrative sleep medicine.
As a condition of participating in the Program, you agree to be bound by and abide by the policies and procedures set out in this Agreement, including those incorporated by reference.
Terms of Use, Privacy Policy, and Disclaimer
The Company's Terms of Use, Privacy Policy, and Disclaimer are incorporated by reference into this Agreement.
Except as modified by this Agreement, each of those policies shall apply to your participation in the Program. In the event of a conflict between those policies and this Agreement, this Agreement shall govern with respect to your participation in the Program.
Nature of the Relationship
Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship.
The Company provides professional education, clinical training, resources, mentorship opportunities, and a community for healthcare professionals.
All Program content, including educational materials, clinical tools, AI-assisted resources, case discussions, and interactions with instructors or other members, is provided for educational and informational purposes.
Participation in the Program does not establish a physician-patient relationship, supervisory relationship, or professional consulting relationship between the Company and any Member or patient.
Members remain solely responsible for their own professional judgment, clinical decisions, patient care, and compliance with applicable laws, regulations, professional standards, and licensing requirements.
The Program does not grant professional licensure, board certification, or authorization to practice any healthcare profession.
Membership Fees
In consideration of your access to the Program, you agree to pay the fees associated with your selected Membership plan.
The following standard Membership options are available:
4-Week Membership: $129 every four weeks
Your first payment is due at enrollment. Thereafter, your Membership automatically renews and your payment method is charged $129 every four weeks until you cancel in accordance with the Cancellation Policy below.
This plan may be described as Monthly Membership for convenience, but billing occurs every four weeks rather than once per calendar month.
Annual Membership: $1,297 every 12 months
Your first payment is due at enrollment. Thereafter, your Membership automatically renews and your payment method is charged $1,297 every 12 months until you cancel in accordance with the Cancellation Policy below.
At standard pricing, Annual Membership provides approximately $380 in savings compared with thirteen consecutive four-week billing periods.
Lifetime Membership: $3,997 one-time payment
You may purchase Lifetime Membership through a single payment of $3,997, providing access as defined in the Lifetime Access section below.
Lifetime Membership is not a recurring subscription, and no further Membership payments will be charged for the Lifetime Membership itself.
From time to time, the Company may offer promotional pricing, discounts, or special enrollment opportunities. The specific price and terms presented at checkout will apply to your purchase.
Membership Rate Protection
Members who enroll in a recurring Membership plan retain their enrollment rate for as long as they maintain an uninterrupted, active subscription on that same plan.
If the Company increases prices for new members, your existing Membership rate will remain unchanged while your subscription remains active on its original plan.
If you cancel your Membership and subsequently rejoin, the rates and terms available at the time of re-enrollment will apply.
Members may request to upgrade from a four-week plan to an annual or lifetime plan, subject to the pricing and terms available at the time of the upgrade.
Previously paid four-week Membership fees are not credited toward the purchase of an annual or lifetime plan unless expressly authorized by the Company.
Annual Members may request to switch to a four-week plan after completing their initial annual term. The four-week rate available at the time of the switch will apply, which may differ from the rate originally offered when the Member enrolled.
Changing plans may result in the loss of the original plan's rate protection.
Lifetime Access
If you purchase Lifetime Membership, “lifetime” refers to the operational lifetime of the Integrative Sleep Institute Membership, meaning the period during which the Company continues to operate and offer the Program in substantially its current form. It does not refer to your lifetime as an individual.
Lifetime Membership includes ongoing access to the Membership's educational library, clinical resources, private clinician community, and regularly offered live educational and case discussion opportunities for as long as the Company continues to operate the Program, subject to this Agreement.
Lifetime Membership also includes access to updates and additions made available to Lifetime Members as part of the standard Membership.
Lifetime Membership does not automatically include separately sold programs, future Fellowship cohorts, certification programs, individual consultations, third-party services, or other offerings that the Company may develop.
If the Company discontinues the Program entirely, ceases operating the Program for twelve consecutive months or longer, or the Program is sold, merged, or transferred to a third party, the Company will use commercially reasonable efforts to do one of the following:
-
Provide Lifetime Members with access to a comparable replacement program at no additional Membership cost.
-
Arrange for a successor entity to honor existing Lifetime Membership access rights.
-
Provide affected Lifetime Members with at least sixty days' advance written notice, where reasonably practicable.
Lifetime Membership does not guarantee that any particular instructor, faculty member, feature, technology, community platform, or live session format will remain available indefinitely.
Discontinuation, sale, or transfer of the Program does not automatically entitle a Lifetime Member to a refund, except as required by applicable law or expressly provided under the Refund Policy.
Payment Policy
Recurring Membership subscriptions renew automatically according to the billing plan selected at checkout.
By purchasing a recurring Membership, you authorize the Company and its payment processor to charge your designated payment method at the applicable recurring interval until your subscription is canceled.
If we are unable to process a scheduled payment, we will notify you by email and request that you update your payment information. Our payment system may make up to three attempts to collect the outstanding payment.
If payment remains unsuccessful, your subscription may be canceled and your access to the Program suspended or terminated.
You are responsible for maintaining accurate and current billing information.
If you experience billing difficulties, please contact support@intrabalance.com.
Cancellation Policy
You may cancel your recurring Membership at any time by emailing support@intrabalance.com.
To avoid a subsequent renewal charge, your cancellation request must be received before your next scheduled billing date.
Cancellation stops future automatic renewals. Your Membership access will ordinarily continue until the end of your current paid billing period, after which access will terminate.
No further subscription charges will be made following an effective cancellation, except for amounts already incurred or otherwise legally owed.
Cancellation does not automatically entitle you to a refund of payments already made. Refund eligibility is governed by the Refund Policy below and applicable law.
This Cancellation Policy applies to four-week and annual recurring Membership plans.
Lifetime Membership is a one-time purchase and does not require cancellation to prevent recurring charges.
The Company will also provide any additional cancellation methods or notices required by applicable law.
Refund Policy
The Company offers a seven-day money-back guarantee for initial Membership purchases.
If you are not satisfied with your purchase, you may request a refund within 7 (seven) calendar days of your initial purchase date.
To request a refund, email support@intrabalance.com and include:
-
The name and email address associated with your purchase.
-
The Membership plan purchased.
-
Your purchase date.
You are not required to demonstrate that you completed any training or fulfilled any other participation requirements to qualify for the guarantee.
The seven-day money-back guarantee applies to initial purchases of four-week, annual, and Lifetime Membership plans.
The guarantee does not restart with automatic subscription renewals or subsequent billing periods unless expressly stated in a separate promotional offer or required by law.
After the applicable refund period has passed, Membership payments are generally non-refundable, including payments for unused portions of a subscription period, except where required by law.
If a refund is approved, the Company will promptly instruct its payment processor to issue the refund. The timing of the refund's appearance in your account depends on the payment processor and financial institution.
Receiving a full refund terminates your Membership access and any licenses granted under this Agreement. You must discontinue use of the Program and delete or destroy any downloaded proprietary materials, except as otherwise permitted by law or expressly authorized in writing.
The Program
As part of the Integrative Sleep Institute Membership, the Company provides access to a range of professional education and clinical implementation resources.
Self-Paced Clinical Training
Members receive access to an educational library covering topics across integrative sleep medicine, including clinical assessment, diagnosis, insomnia, behavioral and mind-body interventions, circadian rhythm disorders, sleep-disordered breathing, sleep medications, supplements, and other relevant topics.
Educational content may be updated, expanded, reorganized, or retired as the Program evolves.
Clinical Resources and Tools
Members receive access to available clinical resources, which may include assessment tools, patient handouts, treatment protocols, clinical playbooks, referral guides, and other practical materials.
These resources are intended to support professional education and clinical implementation. Members remain responsible for evaluating their appropriateness for individual patients and their practice settings.
Live Case Discussions and Mentorship
The Company offers live educational sessions, which may include clinical case discussions, question-and-answer sessions, mentorship, and guest faculty teaching.
The frequency, format, instructors, and schedule of live sessions may vary. The Company may occasionally designate catch-up periods, reschedule sessions, or cancel individual sessions based on faculty availability, holidays, or other operational considerations.
Live session participation is optional. Recordings of sessions will generally be made available to Members when appropriate and technically feasible, subject to confidentiality and other considerations.
Membership does not guarantee individualized case consultation, direct access to a particular instructor, or a fixed number of live sessions in any given month.
Private Clinician Community
Members receive access to a private online community for professional discussion, peer connection, clinical questions, and shared learning.
The Company may participate in community discussions but does not guarantee responses to every question or individual guidance from any particular faculty member.
Members must follow all posted community guidelines. The Company may moderate discussions, remove content, or restrict participation when necessary to maintain a professional and respectful learning environment.
Luna™ AI Clinical Coach and Other Technology Tools
Members may receive access to Luna™ AI Clinical Coach and other technology-assisted educational tools offered as part of the Membership.
AI-generated responses may be incomplete, inaccurate, or unsuitable for a particular clinical situation. These tools are intended to support education and clinical reasoning and must not replace independent professional judgment.
Members are responsible for verifying the accuracy, safety, and appropriateness of information before applying it in clinical practice.
Unless the Company expressly provides an authorized, appropriately compliant workflow for protected health information, Members must not enter identifiable patient information into Luna AI or other Program technology tools.
The Company may modify, replace, or discontinue specific technology tools as platforms and capabilities evolve.
Continuing Medical Education
Eligible educational activities may qualify for continuing education credit through independent third-party providers, including Learner+.
Continuing education eligibility, accreditation, credit availability, documentation, and certificates are determined by the applicable third-party provider.
Where a separate provider subscription or processing fee is required, that fee is not included in the Membership price unless expressly stated.
The Company does not guarantee that continuing education credits will satisfy the requirements of any particular licensing board, employer, or professional organization.
Program Updates
The Company may modify the Program's curriculum, resources, faculty, technology, live session schedule, and delivery format as part of ongoing improvement.
The Company will make reasonable efforts to preserve the Program's overall educational purpose and core Membership benefits.
Bonuses and Special Enrollment Benefits
From time to time, the Company may offer additional bonuses or special benefits to Members who enroll during designated promotional periods.
Eligibility for a bonus is determined by the specific written terms communicated at the time of enrollment.
Bonuses may have separate activation requirements, deadlines, access conditions, or limitations.
If bonus access is expressly conditioned on maintaining an active ISI Membership, cancellation or termination of that Membership will also end access to the associated bonus, unless the applicable written offer states otherwise.
The Company will honor bonus commitments made to eligible Members under the written terms applicable at the time of their enrollment.
Patient Confidentiality and Clinical Case Discussions
The Program is designed for healthcare professionals and may involve discussion of clinical scenarios and patient cases.
Members must protect patient privacy and comply with applicable confidentiality laws, professional obligations, and institutional policies.
Members must not disclose identifiable patient information in community discussions, live sessions, uploaded materials, or AI tools unless expressly authorized through an appropriate compliant process.
When discussing patient cases, Members should remove identifying details and avoid combinations of information that could reasonably permit identification.
Members are responsible for obtaining any required patient permissions and ensuring that their participation complies with applicable privacy and professional requirements.
The Company may remove materials that appear to contain inappropriate disclosures of confidential patient information.
Ownership of Intellectual Property
All Program content, including text, graphics, logos, videos, recordings, educational materials, clinical protocols, templates, AI tools, and other resources, is owned by the Company or its licensors and protected by applicable intellectual property laws.
Participation in the Program does not transfer ownership of any intellectual property to you.
The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use Program materials for your own professional education and permitted clinical implementation while your Membership access remains active.
Patient-facing handouts, clinical templates, and other materials expressly designated for clinical use may be used and shared with your own patients in the ordinary course of your professional practice, subject to any specific restrictions accompanying those materials.
Unless expressly authorized, you may not reproduce, distribute, resell, sublicense, publicly publish, or commercially exploit Program materials.
You may not share Membership login credentials, provide unauthorized access to Program content, or redistribute proprietary training materials to individuals who are not authorized Members.
The Company may terminate access for material violations of its intellectual property rights, subject to applicable law.
Confidentiality
The Company respects the privacy of its Members and handles personal information in accordance with its Privacy Policy and applicable law.
As a condition of participation, Members agree to respect the confidentiality of other Program participants and the Company's proprietary information.
Members may not share confidential information disclosed by other participants outside the Program without appropriate permission.
Members must also respect the confidentiality of proprietary teaching materials, unpublished resources, internal discussions, and other information designated as confidential.
These obligations continue after Membership ends.
Recordings, Member Submissions, and Consent
The Company may record live educational sessions for instructional purposes and make those recordings available within the Membership.
By participating in a recorded session, you acknowledge that your contributions, voice, image, or displayed name may be captured and made available to authorized Members for educational purposes.
Members who prefer not to appear in recordings may choose not to activate their camera or microphone and may use other available participation methods.
You retain ownership of original materials, feedback, or other content that you submit to the Program, subject to any third-party rights.
By submitting content to the Program, you grant the Company a non-exclusive license to use, reproduce, adapt, and display that content as reasonably necessary to operate, administer, and deliver the Program.
The Company will not intentionally use your identifiable image, voice, name, or personal testimonial in public marketing materials without obtaining appropriate permission.
You represent that any materials you submit do not violate another person's privacy, confidentiality, or intellectual property rights.
Personal Responsibility
By participating in the Program, you accept responsibility for your own decisions, actions, and professional conduct.
The Company does not guarantee specific clinical, professional, financial, or business results from participation.
Your results will depend on your experience, professional judgment, implementation, patient population, practice circumstances, and other factors beyond the Company's control.
Results achieved by other Members do not guarantee similar outcomes for you or your patients.
You agree to exercise independent professional judgment and appropriate due diligence before implementing information, tools, or strategies discussed in the Program.
No Warranties
The Program and its educational materials are provided for professional education and informational purposes.
The Company makes no guarantee that the Program will be uninterrupted, error-free, or compatible with every device, platform, or clinical environment.
To the fullest extent permitted by applicable law, the Company disclaims warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
Nothing in this Agreement excludes warranties or consumer rights that cannot lawfully be excluded.
Limitation of Liability
To the fullest extent permitted by applicable law, the Company and its officers, employees, contractors, instructors, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in or use of the Program.
The Company is not responsible for clinical decisions made by Members or for outcomes arising from Members' independent application of educational information.
Nothing in this Agreement limits liability where such limitation is prohibited by applicable law.
Dispute Resolution and Arbitration
Any dispute arising from or relating to this Agreement or participation in the Program shall first be addressed through a good-faith attempt at informal resolution.
Members may initiate this process by contacting support@intrabalance.com with a description of the dispute.
If the dispute cannot be resolved informally, the parties agree to resolve eligible disputes through binding individual arbitration in accordance with applicable law.
Arbitration shall take place in San Francisco, California, unless the parties agree to another location or applicable law requires an alternative procedure.
To the extent permitted by applicable law, disputes shall be resolved on an individual basis rather than through class or representative proceedings.
Arbitration fees and costs shall be allocated in accordance with applicable law and the rules of the arbitration administrator.
Nothing in this section prevents a party from pursuing claims or remedies that cannot lawfully be subjected to mandatory arbitration.
Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless the Company and its officers, employees, contractors, and affiliates against third-party claims, losses, liabilities, and reasonable expenses arising from your unlawful conduct, material violation of this Agreement, infringement of third-party rights, or unauthorized disclosure of confidential information.
This obligation does not apply to the extent a claim arises from the Company's own unlawful conduct or negligence where such limitation is prohibited by applicable law.
Termination and Access Restrictions
The Company reserves the right to suspend, restrict, or terminate Membership access if a Member:
-
Materially violates this Agreement or posted community guidelines.
-
Shares Membership access or proprietary materials without authorization.
-
Engages in harassment, threatening behavior, or repeated disruptive conduct.
-
Violates patient confidentiality or applicable law.
-
Fails to maintain required Membership payments.
Where appropriate, the Company may provide notice and an opportunity to correct a violation before terminating access.
Serious violations may result in immediate suspension or termination.
Termination for material breach does not automatically entitle a Member to a refund, except as required by applicable law.
These provisions apply to recurring and Lifetime Members.
Entire Agreement
This Agreement, together with the Company's Terms of Use, Privacy Policy, Disclaimer, and any expressly applicable written promotional or bonus terms, constitutes the agreement between you and the Company concerning the Program.
It supersedes prior or contemporaneous communications concerning the same subject matter, except for specific written enrollment benefits or commitments that the Company has expressly agreed to honor.
Severability
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law.
Waiver
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of the right to enforce that provision in the future.
Any express waiver must be made in writing by an authorized representative of the waiving party.
Force Majeure
The Company shall not be responsible for delays or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, governmental actions, war, civil unrest, epidemics, labor disruptions, telecommunications failures, power outages, or failures of third-party technology providers.
The Company will make reasonable efforts to restore affected services when practicable.
Changes to These Terms
The Company may update these Terms & Conditions to reflect changes in the Program, applicable law, or operational requirements.
Material changes affecting existing Members will be communicated in advance where required by law.
Changes to these Terms do not automatically eliminate specific benefits or rate protections expressly promised to Members at enrollment.
Effective Date
This Agreement becomes effective when you enroll in the Integrative Sleep Institute Membership and accept these Terms & Conditions.
